Terms of Service

Welcome to Newzander Marketplace ("Newzander," "we," "us," or "our"), a technology platform and marketplace intermediary that connects independent buyers and sellers worldwide. These Terms of Service ("Terms") govern your access to and use of the Newzander platform, including our website, mobile applications, APIs, and all associated services (collectively, the "Platform").

By creating an account, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all other policies incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

1.1 Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. Use of the Platform is void where prohibited by applicable law.

1.2 Account Registration

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for all activities that occur under your account and for maintaining the confidentiality of your credentials. You must notify us immediately at security@newzander.com of any unauthorized use of your account.

1.3 Business Accounts

If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" in these Terms include that entity.

Newzander provides the infrastructure, tools, and escrow services that enable independent vendors ("Sellers") to list products and services, and buyers ("Buyers") to discover and purchase them. We are not a party to any transaction between Buyers and Sellers except in our capacity as escrow intermediary.

2.1 Vendor Independence

Sellers are independent third-party merchants and are not employees, agents, representatives, or partners of Newzander. Newzander does not endorse any Seller, product, or listing. Sellers retain full responsibility for:

• Accuracy and legality of product descriptions, images, and pricing
• Product quality, safety, authenticity, and compliance with applicable regulations
• Fulfillment, packaging, shipping, and delivery
• Collection and remittance of applicable taxes and duties
• Compliance with import/export regulations and trade sanctions
• Intellectual property rights and licensing
• Customer communication and dispute resolution

2.2 No Warranty on Third-Party Listings

Newzander makes no representations or warranties regarding the accuracy, quality, safety, legality, or availability of any product or service listed by third-party Sellers. Buyers transact with Sellers at their own risk, subject to the protections offered under our Buyer Protection Policy and Escrow Terms.

3.1 Buyer Obligations

As a Buyer, you agree to:

• Provide accurate shipping information, contact details, and payment information
• Pay the full purchase amount, including applicable fees and shipping charges, at the time of order placement
• Inspect goods upon delivery and initiate any dispute within the applicable dispute window
• Confirm delivery through the Platform upon receipt of goods or services in satisfactory condition
• Not abuse the dispute resolution or refund system
• Not circumvent the Platform to transact directly with Sellers outside the escrow system
• Comply with all applicable laws regarding the import and use of purchased goods

3.2 Seller Obligations

As a Seller, you agree to:

• Provide accurate, truthful, and complete product listings
• Fulfill orders promptly and within stated timelines
• Maintain adequate stock levels and update listings to reflect availability
• Respond to Buyer inquiries and messages within 48 hours
• Resolve disputes in good faith through the Platform's dispute resolution process
• Comply with all applicable product safety, labeling, and consumer protection laws
• Not list prohibited, counterfeit, or restricted products
• Maintain valid business licenses, permits, and authorizations where required
• Provide accurate tracking information upon shipment

Newzander charges a platform commission on completed transactions. Current fee schedules are published on the Platform and may be updated with advance notice. By continuing to use the Platform after a fee change takes effect, you accept the new fees.

4.1 Transaction Fees

Newzander's commission is deducted from the Seller's payout upon escrow release. Buyers do not pay platform fees unless expressly stated. Additional fees may apply for premium features, promoted listings, or dispute resolution services.

4.2 Payment Methods

Accepted payment methods include major credit and debit cards, bank transfers, mobile money, platform wallet, and USDT (TRC-20). USDT is accepted strictly as a payment method for goods and services; Newzander does not operate as a cryptocurrency exchange, investment platform, or financial institution.

4.3 Currency Conversion

Multi-currency transactions are subject to exchange rate conversion at rates determined at the time of order placement. Rates are locked for the duration of the escrow period. Newzander is not responsible for currency fluctuations between order placement and escrow release.

4.4 Taxes

Sellers are solely responsible for determining, collecting, reporting, and remitting all applicable taxes, including VAT, GST, customs duties, and income taxes arising from transactions on the Platform. Newzander may collect and remit certain taxes where legally required.

You agree not to engage in any of the following:

• Fraudulent, deceptive, or misleading conduct of any kind
• Manipulation of ratings, reviews, or feedback systems
• Listing, selling, or purchasing prohibited or restricted items (see Prohibited Products Policy)
• Money laundering, terrorist financing, or any activity that violates AML/KYC requirements
• Circumventing Newzander's escrow or payment systems to transact off-platform
• Creating multiple accounts to evade suspension or restrictions
• Unauthorized access to other users' accounts or data
• Introducing malware, viruses, or harmful code to the Platform
• Scraping, harvesting, or automated data extraction without written consent
• Harassment, threats, or abusive conduct toward other users or staff
• Violating any applicable local, national, or international law or regulation

Newzander reserves the right to suspend, restrict, or terminate any account at our sole discretion, including but not limited to cases involving:

• Violation of these Terms or any Platform policy
• Fraudulent activity, chargebacks, or payment disputes
• Suspicious transaction patterns or AML/KYC concerns
• Regulatory requirements or law enforcement requests
• Prolonged inactivity
• Reputational risk to the Platform

6.1 Reserve Holds

Newzander may place a reserve hold on Seller funds pending investigation of suspected fraud, excessive disputes, or compliance concerns. Funds subject to a reserve hold will not be released until the investigation is concluded. We will notify Sellers of holds and estimated timelines where legally permissible.

6.2 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Pending orders will be handled according to our standard fulfillment and refund procedures. Funds legitimately owed to you will be released following any applicable hold periods and after deduction of outstanding fees, chargebacks, or penalties.

All Platform content, design elements, trademarks, logos, and technology are the exclusive property of Newzander or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended purposes.

7.1 User Content

By submitting content to the Platform (including product images, descriptions, reviews, and messages), you grant Newzander a worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display such content in connection with operating and promoting the Platform.

7.2 DMCA / IP Violations

Newzander respects intellectual property rights. If you believe content on the Platform infringes your intellectual property rights, please submit a notice to legal@newzander.com. See our Intellectual Property & DMCA Policy for detailed procedures.

To the maximum extent permitted by applicable law, Newzander and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from your use of or inability to use the Platform.

Newzander's total aggregate liability to you for any claims arising from or relating to these Terms or the Platform shall not exceed the greater of (a) the fees paid by you to Newzander in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD 100).

These limitations apply regardless of the legal theory on which the claim is based and even if Newzander has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless Newzander and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

• Your use of the Platform or violation of these Terms
• Your products, listings, or services
• Your violation of any third-party rights, including intellectual property, privacy, or consumer protection rights
• Any content you submit to the Platform
• Your fraud, wilful misconduct, or negligence

Newzander reserves the right to modify these Terms at any time. We will provide notice of material changes by posting an updated version on the Platform and, where appropriate, by email notification. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with applicable international commercial law principles, supplemented by the laws of the Federal Republic of Nigeria to the extent not inconsistent. For users in other jurisdictions, mandatory local consumer protection laws may also apply.

Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved through our internal dispute resolution process shall be submitted to binding arbitration. The arbitration shall be conducted by a mutually agreed upon arbitrator or arbitration body, administered in English.

You and Newzander each waive the right to a jury trial or to participate in a class action lawsuit or class-wide arbitration. This waiver does not apply where prohibited by applicable law.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
